- Counsel to acquirer on a $1.2 billion cross-border acquisition of life insurance and annuity business
- Represented strategic insurance investor with its £164 million acquisition of several U.S. and European specialty insurers
- Represented controlling shareholders in the $53 million sale of a specialty insurer and intermediary to publicly traded insurer
- Counsel to global insurer for $143 million acquisition of a specialty lines insurer including its Lloyd’s facilities
- Formed and obtained formation regulatory approvals for various start-ups, captives and RRGs
- Represented an Australian bank in its insurance financings
- Counsel to a French insurance group in the issuance of a €128 million CAT bond
- Represented various parties in longevity and mortality swaps, protection pools and hedges and XXX and AXXX transactions
- Represented management-led purchasers in the acquisition of a majority equity position of a U.S. insurance intermediary
Regulatory matters:
- Supported clients’ multi-state market conduct and financial examinations for property and travel insurance
- Restructured regional property insurer including related regulatory matters
- Advised a Bermuda-based insurance and savings investment products insurer on its global insurance business, processing, and service management arrangements and compliance for its products and follow-on financial restructuring
- Counsel to German, UK and Bermuda insurance companies for manuscript insurance for alternative energy policies covering photovoltaic, wind, geothermal, bio-mass, energy storage and other energy programs
- Advised on warranty and service contracts compliance for consumer products, industrial equipment, electronics, computers, software, automobile components and products, commodities, and oil and gas
- Counsel to counterparties in workouts and restructurings with financial guarantors, voluntary run-offs of insurers and reinsurers and acquisitions of U.S. carriers under insurance department supervision
- Facilitated numerous start-ups and formations, including licensing, and other regulatory filings
- Cybersecurity and data protection compliance counsel to several property insurers
